    MINUS Life Technology Co., Ltd. and its subsidiaries, affiliates, and representative offices (hereinafter referred to as “MINUS”, “the Company” or “we”) are committed to strictly complying with all applicable national and international trade policies and practices, including Chinese laws, relevant international trade compliance policies and practices, and applicable foreign laws and regulations. We realize that a robust and comprehensive compliance program can help avoid compliance risks, shape an active and responsible company image, enhance mutual trust and transparency, and strengthen global partnerships. This enables us to devote ourselves to the research and development of technology, enhance our competitiveness in the international market, and provides greater possibilities to expand in the global market.

    MINUS is committed to a high standard of ethics and integrity in business practices around the world. The company firmly abides by the anti-corruption and anti-bribery laws and other policies and regulations applicable in the countries where it operates and opposes any unethical practices. MINUS has a “zero tolerance” attitude towards any form of corruption. No matter where we do business, we uphold the values of transparency and integrity in our dealings with our business partners and governments.

   MINUS ensures that every employee and individual is protected and respected.    Dedicated to building a world’s leading manufacturer and marketer of smart electronic products, MINUS has always recognized the importance of cybersecurity and data protection, and takes the corresponding responsibilities seriously. MINUS is committed to comply with cybersecurity and data privacy protection laws applicable in all jurisdictions around the world. We will monitor and manage access to sensitive information and private data by our employees and partners to prevent certain individuals or organizations from using it for malicious purposes.

   The Company has established the Legal Department and Internal Control Audit Department to ensure compliance and supervise the continuous and effective implementation of internal compliance policies and systems. 


3.Sustainable Supply Chain Management


   MINUS promises to implement sustainable supply chain management and comply with human rights and labor rights protection, strictly adheres to the UN Convention on the Rights of the Child (UNCRC), the Labor Law of the PRC, the Law of the PRC on the Protection of Rights and Interests of Women, the Provisions on Prohibition of Child Labour, among other relevant laws. MINUS implements relevant requirements in a variety of areas, including supplier sourcing, introduction, cooperation, and supplier performance evaluation, and requires suppliers to adhere to the “MINUS Supplier Code of Conduct for Compliance“. Our goal is to promote continuous improvement of suppliers and ensure supply chain compliance.

Key Points of MINUS Supply Chain Human Rights and Labor Compliance Management

  • Freedom of Employment:The establishment of an employment relationship should be based on the employee’s autonomy and voluntary participation.
  • Prohibition of Child Labor:Suppliers should comply with all applicable local and national laws and regulations regarding the minimum working age, and shall not employ child labor.
  • Humane Treatment:Suppliers should respect and treat every employee kindly, commit to creating a workplace free from harassment and abuse, and not threaten employees with harsh or inhumane treatment.
  • Wages and Benefits:Employees should receive reasonable wages in accordance with applicable local laws. 
  • Non-discrimination:Suppliers should commit to protecting employees from harassment and illegal discrimination. 
  • Freedom of Association and Collective Bargaining:Where permitted by law, suppliers should respect employees’ rights to freely associate with others, form, join, or not join a union or their chosen organization, and engage in collective bargaining.


Conflict Minerals Statement


    MINUS Life Technology Co., Ltd. and its subsidiaries, branches and offices (hereinafter referred to as “MINUS”, or “Company”, or “We”) are committed to abiding by the Responsible Mineral Initiatives (RMI) and the Due Diligence Guidance for Responsible Supply Chains of Minerals from Conflict-Affected and High-Risk Areas of the Organization for Economic Cooperation and Development (OECD). MINUS is also committed to respecting human rights, not fueling conflicts, and striving to take corporate responsibility in its procurement supply chain and adhering to social ethics.

We promise not to directly or indirectly use minerals that cause conflicts and implement supply chain compliance procurement management standards within the Company and in our entire supply chain process. All relevant suppliers are required to guarantee the legality of their supplied products or materials (that all materials come from environmentally and socially responsible sources) and sign a Supplier Compliance Letter. Meanwhile, relevant suppliers are supervised to implement strict conflict mineral investigations and raw material source tracing systems, striving to ensure that the relevant materials used in our products are legal and compliant.

   The principles of responsible and sustainable development are the basis and standards of MINUS’ supply chain procurement. We will adhere to ethical procurement together with our suppliers and other stakeholders, commit to not engaging in any activities that provide funding for conflicts, and help ensure that the human rights of people working in relevant areas are protected.

    In order to identify the suppliers involved in five kinds of responsible minerals, including tin, tantalum, tungsten, gold (3TG) and cobalt, MINUS uses Conflict Minerals Reporting Template (CMRT) / Extended Minerals Reporting Template (EMRT), and requires suppliers to investigate and identify smelters and refiners. 4.Anti-Curruption Policy


    MINUS Life Technology Co., Ltd. and its subsidiaries, branches, and representative offices (hereinafter referred to as “MINUS” or the “Company”) believe that corruption severely damages fair market competition and is a threat to the development of our society, economy and enterprises. MINUS upholds the principles of conducting business ethically and with integrity, and MINUS complies with all applicable laws and regulations in any country or jurisdiction it operates in, including China’s anti-corruption laws, the United Nations Convention against Corruption, the US Foreign Corrupt Practices Act and the United Kingdom’s Bribery Act of 2010. MINUS applies a “Zero-Tolerance” approach towards corruption. In the process of conducting business operations, MINUS upholds ethical standards and will not attempt to directly or indirectly influence others through payment or provision of any form of bribery.

    With active and effective measures, MINUS has established a managerial system to deter and detect any acts of corruption. MINUS requires all MINUS Life Technology employees to comply with the MINUS Integrity and Self-Discipline Rules. It is our policy that any employee or any other person/entity who acts on behalf of MINUS must not, directly or indirectly, offer bribes to any government official or any other third-party person/entity in order to gain business advantages. If, for the same purpose, any supplier, agent, consultant or business partner of MINUS (as “Partners”) offers bribes to any MINUS employee, the employee must reject the bribe and report the case to the Company. The company has the MINUS Integrity and Self-Reporting System and the MINUSr Integrity and Self-Discipline Information Reward Scheme. In our cooperation with Partners, via contractual covenants and our partner monitors procedures and processes, MINUS requires all of its Partners to comply with MINUS’ Anti-corruption Statement and also to restrict their business behaviors to avoid unethical behaviors.

    This statement is applicable to MINUS Life Technology Co., Ltd. and all its subsidiaries and affiliates which are directly or indirectly controlled by MINUS Life Technology Co., Ltd.
